1. Acceptance of Terms

By accessing or using any services, platforms, tools, or systems made available by AD VERBUM Ltd. ("AD VERBUM", "we", "us", or "our"), including but not limited to translation and localisation services, language operations management services, and the AD VERBUM LangOps platform (collectively, the "Services"), you ("User", "you", or "your") agree to be bound by these Terms of Use ("Terms"). If you are accessing the Services on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.

If you do not agree to these Terms, you must immediately cease using the Services.

2. Description of Services

​

AD VERBUM provides professional language services and technology-enabled language operations solutions. The Services may include, without limitation: translation, editing, proofreading, transcreation, and localisation; desktop publishing and multimedia localisation; interpreting and voice-over services; AI-assisted and human translation workflows; terminology management and language asset development; and access to the AD VERBUM LangOps platform for the management, coordination, and tracking of language projects and workflows.

The specific scope, deliverables, timelines, and pricing applicable to any engagement are governed by the relevant service agreement, statement of work, or project order entered into between AD VERBUM and the User.

3. User Accounts and Access

​

Where access to the Services requires the creation of a user account or the use of login credentials, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify AD VERBUM immediately of any unauthorised use of your account or any other breach of security. AD VERBUM shall not be liable for any loss or damage arising from your failure to comply with these obligations.

You agree not to share, transfer, or otherwise permit any third party to use your account credentials without the prior written consent of AD VERBUM.

4. Acceptable Use

​

You agree to use the Services solely for lawful purposes and in accordance with these Terms. You shall not use the Services to: transmit any material that is unlawful, harmful, defamatory, obscene, or otherwise objectionable; infringe the intellectual property rights or other rights of any third party; upload or transmit viruses, malware, or any other harmful code; attempt to gain unauthorised access to any part of the Services or any related systems or networks; use automated means to access, scrape, or harvest data from the Services without AD VERBUM's prior written consent; or misrepresent your identity or affiliation in connection with your use of the Services.

AD VERBUM reserves the right to suspend or terminate access to the Services in the event of any violation of this section.

5. Intellectual Property

​

All content, software, technology, trademarks, trade names, logos, and materials made available by AD VERBUM in connection with the Services, including the LangOps platform and its underlying architecture, are the exclusive property of AD VERBUM or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest or licence in or to such materials beyond the limited right to use the Services as expressly set out herein.

Ownership of deliverables produced by AD VERBUM in the course of providing the Services shall be governed by the applicable service agreement between the parties.

6. Confidentiality and Data Security

​

In connection with your use of the Services, you may provide AD VERBUM with materials, documents, data, and information that may be confidential or proprietary in nature. AD VERBUM will treat all such materials with reasonable care and will not disclose them to third parties except as necessary to perform the Services or as required by applicable law.

You are responsible for ensuring that any content you submit to AD VERBUM, including source materials, does not violate the rights of any third party and that you have all necessary rights and permissions to provide such content for the purposes of the Services.

7. Artificial Intelligence and Automated Processing

​

The Services may incorporate AI-enabled tools, machine translation engines, or other automated language processing systems. Where such tools are used, AD VERBUM will ensure they are applied in accordance with its quality standards and data protection obligations.

AD VERBUM shall not use content submitted by you to train, fine-tune, or improve any artificial intelligence or machine learning model without your prior written consent. Any use of AI tools in the performance of the Services will be disclosed upon your reasonable request.

Where you have separately agreed to the use of AI-assisted workflows under a service agreement, the specific terms governing such use — including quality standards, human review requirements, and data handling — shall be set out in that agreement.

8. Privacy and Data Protection

​

AD VERBUM processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Latvian data protection legislation. By using the Services, you acknowledge that AD VERBUM may process personal data relating to your representatives and contacts as described in the AD VERBUM Privacy Policy.

Where AD VERBUM processes personal data on your behalf as a data processor, the terms of such processing shall be governed by a separate Data Processing Agreement.

9. Limitation of Liability

​

To the fullest extent permitted by applicable law, AD VERBUM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunity, arising out of or in connection with your use of or inability to use the Services, even if AD VERBUM has been advised of the possibility of such damages.

AD VERBUM's total aggregate liability to you for any claim arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by you to AD VERBUM in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded under applicable law.

10. Disclaimer of Warranties

​

The Services are provided on an "as is" and "as available" basis. AD VERBUM makes no representations or warranties of any kind, express or implied, regarding the Services, including without limitation any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement, except to the extent expressly agreed in a written service agreement. AD VERBUM does not warrant that the Services will be uninterrupted, error-free, or free from harmful components.

11. Modifications to the Services and Terms

​

AD VERBUM reserves the right to modify, suspend, or discontinue any part of the Services at any time and without prior notice. AD VERBUM also reserves the right to update these Terms at any time. Where changes are material, AD VERBUM will provide reasonable notice by publishing the updated Terms on its website or by direct communication. Your continued use of the Services following notice of any change constitutes your acceptance of the updated Terms.

12. Termination

AD VERBUM may suspend or terminate your access to the Services at any time if you breach these Terms or if required to do so by law. Upon termination, your right to access and use the Services will immediately cease. Clauses 5, 6, 7, 8, 9, 10, and 14 shall survive termination.

13. Links and Third-Party Services

​

The Services may contain links to or integrations with third-party websites, tools, or platforms. AD VERBUM does not endorse, control, or assume responsibility for any third-party content, products, or services, and your use of any such third-party services is governed by their respective terms and policies.

14. Governing Law and Dispute Resolution

​

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Latvia, without reference to conflict of laws principles. The parties shall endeavour to resolve any disputes amicably within thirty (30) days of written notice of a dispute. If the parties are unable to resolve the dispute within that period, it shall be submitted to the exclusive jurisdiction of the courts of the Republic of Latvia, Riga jurisdiction.

15. General

​

These Terms constitute the entire agreement between you and AD VERBUM with respect to your use of the Services and supersede all prior communications and agreements on the same subject. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. AD VERBUM's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign your rights or obligations under these Terms without the prior written consent of AD VERBUM.
